Terms of Service

These Terms of Service ("Terms") govern your access to and use of the NEXUS AI website, applications and services (together, the "Service") operated by NEXUS AI Ltd. By creating an account, purchasing access, or otherwise using the Service, you agree to be bound by these Terms.
1. Who we are
The Service is provided by NEXUS AI Ltd, a company registered in Malta (company number [COMPANY REGISTRATION NUMBER]), with its registered office at [REGISTERED OFFICE ADDRESS], Malta (“we”, “us”, “our”). You can reach us at support@nexus-ai.app.
2. Eligibility and accounts
You must be at least 18 years old and able to form a legally binding contract to use the Service. You are responsible for the accuracy of the information you provide and for all activity that occurs under your account.
You must keep your login credentials, and any two-factor authentication (TOTP) device or recovery codes, confidential. We are not liable for any loss arising from unauthorised use of your account where you have failed to keep these secure. Notify us immediately at support@nexus-ai.app if you believe your account has been compromised.
3. The Service
NEXUS AI is a personal AI assistant that retains the context and documents you choose to share with it. Access is purchased in tiers and may be associated with a Technology Certificate that acts as your independent proof of ownership, as described on our Technology Certificate page.
Certain features rely on third-party artificial intelligence providers to generate responses. AI-generated output can be inaccurate, incomplete or unsuitable for your purposes. You are responsible for evaluating output before relying on it, and you must not use the Service as a substitute for professional legal, medical, financial or other regulated advice.
4. Technology Certificates and Vaults
A Technology Certificate is permanently bound to a single account and cannot be shared, sold or transferred. Each Certificate may unlock a named Vault containing your encrypted AI session and stored context. We register Certificates in our Certificate Registry so that their authenticity can be independently verified, but the Registry does not store the personal data held inside your Vault.
5. Fees, payment and tokens
Prices are displayed in euro (EUR) and are payable in advance. We accept the payment methods shown at checkout, including card payment and bank transfer. Where you pay by bank transfer, access is activated only once we confirm receipt of funds, which may take 1–2 business days, and no Technology Certificate is issued for bank-transfer purchases.
Some tiers and top-ups are sold as token allowances that are consumed as you use the Service. Tokens have no cash value, are non-transferable, and are not redeemable for money except where required by law or as set out in our Refund Policy.
6. Acceptable use
Your use of the Service is subject to our Acceptable Use Policy, which forms part of these Terms. Breaching that policy may result in suspension or termination of your account.
7. Your content
You retain all rights in the documents, messages and other content you submit to the Service (“Your Content”). You grant us a limited, non-exclusive licence to host, process and transmit Your Content solely to operate and provide the Service to you. You are responsible for ensuring you have the right to submit Your Content and that doing so does not breach any law or third-party rights.
8. Intellectual property
The Service, including its software, design, branding and the NEXUS AI name and logo, is owned by NEXUS AI Ltd or its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights in the Service.
9. Availability and changes
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue features at any time. Where a change materially reduces the Service you have paid for, we will act reasonably and in accordance with our Refund Policy.
10. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends, though provisions that by their nature should survive (such as intellectual property, disclaimers and limitation of liability) will continue to apply.
11. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Nothing in these Terms excludes or limits rights you have under mandatory consumer protection law.
12. Limitation of liability
To the fullest extent permitted by law, NEXUS AI Ltd will not be liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, data or goodwill. Our total aggregate liability arising out of or in connection with the Service will not exceed the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or €100. Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud.
13. Indemnity
You agree to indemnify and hold harmless NEXUS AI Ltd from any claims, losses or expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Service.
14. Changes to these Terms
We may update these Terms from time to time. Where changes are material we will take reasonable steps to notify you, for example by email or an in-product notice. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
15. Governing law and disputes
These Terms are governed by the laws of Malta, and the courts of Malta have non-exclusive jurisdiction over any dispute, without affecting any mandatory rights you have as a consumer to bring proceedings in your country of residence.
